END-USER LICENSE AGREEMENT (EULA)

This End-User License Agreement ("EULA") is a legal agreement between you (either an individual employee or authorized user) and Artmex Artistic Iron Inc. ("Company", "we", "us", or "our") for the internal QuickBooks to Bigin CRM synchronization application ("Software").
By accessing or using the Software, you agree to be bound by the terms of this EULA. If you do not agree to the terms of this EULA, do not use the Software.
1. Purpose and Scope
The Software is a proprietary internal integration tool developed solely for the purpose of synchronizing data between Intuit QuickBooks and Bigin CRM. The Software is not intended for commercial distribution, public release, or resale.
2. Grant of License
Subject to your compliance with this EULA and your continued employment or authorized relationship with the Company, you are granted a revocable, non-exclusive, non-transferable, limited license to access and use the Software strictly for the Company's internal business operations.
3. Restrictions on Use
You agree not to, and you will not permit others to:
License, sell, rent, lease, assign, distribute, transmit, host, outsource, disclose, or otherwise commercially exploit the Software.
Copy, modify, make derivative works of, disassemble, decrypt, reverse compile, or reverse engineer any part of the Software.
Use the Software for any purpose other than the Company's authorized internal business operations.
Remove, alter, or obscure any proprietary notice (including any notice of copyright or trademark) of the Company or its affiliates, partners, suppliers, or the licensors of the Software.
4. Intellectual Property
The Software, including without limitation all copyrights, patents, trademarks, trade secrets, and other intellectual property rights, is, and shall remain, the sole and exclusive property of the Company.
5. Third-Party Services
The Software integrates with third-party platforms, specifically Intuit QuickBooks and Zoho Bigin. Your use of the Software is also subject to the respective Terms of Service and Privacy Policies of those third-party providers. The Company is not responsible for the availability, performance, or security of these third-party services.
6. Disclaimer of Warranties
THE SOFTWARE IS PROVIDED TO YOU "AS IS" AND "AS AVAILABLE" WITH ALL FAULTS AND DEFECTS WITHOUT WARRANTY OF ANY KIND. To the maximum extent permitted under applicable law, the Company expressly disclaims all warranties, whether express, implied, statutory, or otherwise, with respect to the Software, including all implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
7. Limitation of Liability
To the fullest extent permitted by applicable law, in no event will the Company be liable for any special, incidental, indirect, or consequential damages whatsoever (including, but not limited to, damages for loss of profits, loss of data, or business interruption) arising out of or in any way related to the use of or inability to use the Software.
8. Termination
This EULA shall remain in effect until terminated by you or the Company. The Company may, in its sole discretion, at any time and for any or no reason, suspend or terminate this EULA with or without prior notice. This EULA will terminate immediately, without prior notice from the Company, in the event that you fail to comply with any provision of this EULA or upon the termination of your employment or authorized relationship with the Company.
9. Governing Law
This EULA and your use of the Software are governed by the laws of the State of California, United States, excluding its conflicts of law rules.
